Rule 1
DEFINITION
Macedonian association for solar energy, "Solar Macedonia" (hereinafter "Solar Macedonia") it is specialized, scientifically, educational and cultural association, established to act within the Republic and beyond. Solar Macedonia is a nongovernmental, non-partisan and non-profit association.
The purpose of the association is (as defined in the registration of the association), to encourage and enable cooperation between Macedonian companies (producers, designers, contractors, importers, repairers), specialists and scientists of all disciplines, engineering and technology, related research, development, promotion of solar energy, and design, production, completion, exploitation, maintenance of facilities for the use of solar energy.
Rule 2
REGISTRATION
"Solar Macedonia" is registered as a non-profit association. Under the laws of the Republic of Macedonia, it is exempt from paying any duties related to his work.
Rule 3
SEAT
The headquarters of the "Solar Macedonia" in Skopje on ul.Veljko Vlahovic No.18 / mezhanin, Republic of Macedonia.
Rule 4
STRUCTURE
"Solar Macedonia" consists of her physical and legal entities, Sponsors and supporters, presidency, Management board, attitudes and Board Secretary.
Rule 5
INDIVIDUAL mEMBERS
In "Solar Macedonia" can be a member any natural person, regardless of profession, age, gender, religious or political affiliation, interested to work on developing the application of solar energy.
Rule 6
Corporate members
In "Solar Macedonia" can join any legal entity: working, educational, scientific and similar organization, institution or company, interested to work on developing the application of solar energy.
Rule 7
Sponsors and helpers
Work on the "Solar Macedonia" can be supported by each individual, or other organization through regular annual funding of overall activity (sponsors), or financing of individual specific activities (helpers). Any financial assistance will be accepted and used strictly for the purposes for which it is given. The amount of support will depend on the sponsor, or accessory will be agreed between|in the Administrative Board of "Solar Macedonia" and the particular sponsor, or helper.
The names of the sponsors and helpers were identified in all publications of "Solar Macedonia" (sponsors), or publications on specific activities (helpers).
Rule 8
MANAGEMENT
The activities of "Solar Macedonia" will be managed by the President and Board of directors, in accordance with the registration of the association, defined objectives and program of work, and policy and objectives, defined and obtained by the Parliament of the "Solar Macedonia", as the highest management body of the association.
Rule 9
PRESIDENT
President of "Solar Macedonia" is the highest governing body, representative and signatory of the association, who describes his work fits the Assembly of the Association. He is ex officio Chairman of the Board of "Solar Macedonia", and remains a member in the course of one term for loss of function.
President specifically has the following rights and responsibilities:
coordination of all activities of the "Solar Macedonia",
advocacy of "Solar Macedonia" before domestic and foreign associations, organizations, institutions, figures and the like.,
development and implementation of campaigns to finance the work of the "Solar Macedonia",
spending of funds on "Solar Macedonia".
President of "Solar Macedonia" are elected by the Assembly of the Association, by secret ballot. Nomination for president are performed by nadzorniot Board of "Solar Macedonia", in a manner governed by the rules of its work. The mandate of four years, with renewable once.
Rule 10
BOARD OF "SOLAR MACEDONIA"
Board of "Solar Macedonia" is the executive body of the association, responsible for the activities defined by the Assembly and the tasks of the President, and other activities authorized by the President. He is also an advisory body to the President of "Solar Macedonia".
Management Board working on rules of procedure, adopted by the Assembly of the "Solar Macedonia". The composition of the Board is as follows:
– Chairman of the Board, who is also chairman of
association;
– Vice Chairman of the Board, who is also deputy
President of the association;
– Chairman of the Board nadzorniot;
– Secretary of the "Solar Makedonija";
– President of the "Solar Macedonia" in the past year mandate;
– Chairman of the Board of "Solar Macedonia"
the previous mandate;
– Three members of the association members.
Board of "Solar Macedonia" is elected by secret ballot, on candidate list defined by the Board of the association nadzorniot.
The procedure for nomination and selection is governed by the rules of procedure of the Board and Board of nadzorniot "Solar Macedonia". The mandate of the Board is 4 years, with renewable once.
Board of "Solar Macedonia" has the right and duty to appoint and other temporary managerial persons, related to the implementation of specific activities of the association. He also beer and the remaining members of the individual committees (formed according to current needs), the proposal of their presidents.
Board of "Solar Macedonia" is managed by the President or, in his absence, Deputy Chairman of the Board, and that its meetings schedule. In case of absence or impediment of both, meetings can be convened and chaired by the Assembly Speaker "Solar Macedonia".
Rule 11
COLLECTION
Assembly of the "Solar Macedonia" is the highest administrative body of the association, composed of members of the same on any ground.
The Assembly has the following rights and responsibilities:
Adoption of the annual plans and reports of "Solar Macedonia", submitted by the President of the association;
Adoption of the annual financial plans and reports of "Solar Macedonia", submitted by the President of the association;Election and recall of the President of "Solar Macedonia" and members of the Board of "Solar Macedonia". The decisions of the Assembly shall be made by public vote, except by special request 50+1% the present and election of Chairman and Members of the Board of "Solar Macedonia"
Parliament has a full quorum for deciding if it is present at least 50+1% the membership. Decisions are considered valid if voted by a simple majority of those present.
Rule 12
COOPERATION WITH OTHER ASSOCIATIONS
"Solar Macedonia" otstvaruva its activities independently or in cooperation with other professional and other associations, organizations, institutions, state administration, etc..
Planning and implementation of these collaborations are the right and duty of the President and Board of Directors "Solar Macedonia".
Rule 13
INTERNATIONAL COOPERATION
"Solar Macedonia" otstvaruva me|international activity, in cooperation with me|international associations, institutions and organizations.
Planning and implementation of me|International cooperation is the right and responsibility of the President of the Association and Board Nadzorniot. The decision to sign specific agreements, that involve financial responsibilities, adopted the proposal of the President, by a vote of the Board of "Solar Macedonia". While president of the association has the right to 30% votes. The decision is considered adopted if voted 50+1% the composition of the Board.
Rule 14
SECRETARY
Secretary of "Solar Macedonia" is an auxiliary administrative person for the association, responsible for:
– Keeping records
– Doing the cashier and
– Archiving-administration.
Through Secretary perform all financial (payment, payments) and administrative (archiving agreements, mail, phones, faxes etc.) activity. Secretary submitted quarterly, semi-annual and annual reports on its work to the Board of "Solar Macedonia".
Authorized signatories of documents "Solar Macedonia" to the President and Vice President of the association.
The head office of Secretary is identical to the headquarters of the association varied by changing the same.
Rule 15
ACCOUNT
"Solar Macedonia" their financial performance realized through a special account for payment of the Republic of Macedonia. Authorized signatories of the account is the President and Vice President of "Solar Macedonia".
Rule 16
FINANCING
The operation of the "Solar Macedonia" is financed through:
fees
Funds from the state institutions
Funds raised from sponsors of "Solar Macedonia"
Funds collected from supporters of the "Solar Macedonia"
Funds from services.
The amount of dues for individual and corporate members are determined by a vote by the Assembly to "Solar Macedonia", for each year, upon proposal of the Board of directors.
Collecting funds from sponsors and helpers is the responsibility of the President of "Solar Macedonia".
Funds from services are the responsibility of the Board of "Solar Macedonia".
Rule 17
ADOPTION AND AMENDMENT OF THE STATUTE
Statute "Solar Macedonia" adopted by the Assembly by two-thirds majority of those present, and the proposal of the President of the association. The same procedure exists for its changes.
